These Terms & Conditions (“Terms”) govern access to and use of falonyxbio.com (the “Website”) and purchases from Falonyx Bioscience, operated by Falonyx LLC (“Falonyx,” “we,” “us,” or “our”).
By accessing the Website, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated into them.
1. Age and Eligibility
You must be at least 18 years of age to create an account or purchase products from Falonyx.
By creating an account or placing an order, you represent that:
- You are at least 18 years old.
- The information you provide is truthful and accurate.
- You are legally permitted to purchase the products ordered.
- Your purchase and intended research activities comply with applicable laws and regulations.
Falonyx reserves the right to refuse, cancel, or limit an order when reasonably necessary for legal, compliance, security, fraud-prevention, product-availability, or other legitimate business reasons.
2. Research Use Only
ALL PRODUCTS OFFERED BY FALONYX BIOSCIENCE ARE FOR RESEARCH USE ONLY. NOT FOR HUMAN CONSUMPTION.
Falonyx products are offered solely as research materials for lawful research purposes.
Unless expressly stated otherwise for a particular product, products are not sold or intended as drugs, foods, dietary supplements, cosmetics, medical devices, or products for therapeutic, diagnostic, preventative, veterinary, or other clinical use.
Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.
3. Prohibited Human Use
Falonyx products are not intended for ingestion, injection, administration to humans, self-treatment, medical treatment, or any other form of human consumption or human use.
Purchasing a product from Falonyx does not constitute authorization, encouragement, approval, or a recommendation to use that product contrary to its labeling or research-use designation.
Falonyx does not provide dosing instructions, administration instructions, treatment protocols, medical advice, or recommendations concerning human use.
Any use inconsistent with a product’s research-use designation is unauthorized and contrary to the conditions under which the product was sold.
4. Purchaser Representations and Responsibilities
By purchasing from Falonyx, you represent that products are being acquired for lawful research purposes.
The purchaser is solely responsible for determining whether they possess the appropriate knowledge, qualifications, facilities, equipment, procedures, safeguards, and legal authority necessary for the lawful receipt, handling, storage, transportation, research use, and disposal of purchased materials.
The purchaser is responsible for complying with all laws, regulations, institutional requirements, laboratory procedures, and safety requirements applicable to their activities.
5. Product Handling and Storage
Research materials may require specialized handling, storage, equipment, procedures, and safeguards.
Customers are responsible for reviewing available product information and implementing appropriate procedures for the products in their possession.
After delivery, the purchaser assumes responsibility for proper possession, handling, storage, security, transportation, research use, and disposal of the products.
6. Unauthorized or Improper Use
Any use of a Falonyx product contrary to its labeling, research-use designation, these Terms, or applicable law constitutes unauthorized use.
This includes, without limitation, unauthorized human consumption or administration, improper handling or storage, unlawful use, alteration, combination, redistribution, resale contrary to applicable requirements, or other use outside the conditions under which the product was sold.
To the fullest extent permitted by applicable law, the purchaser assumes responsibility for consequences resulting from unauthorized, improper, unlawful, or unintended use or handling occurring after delivery.
To the fullest extent permitted by applicable law, Falonyx Bioscience and Falonyx LLC disclaim responsibility for injury, loss, damage, expense, claim, or other consequence arising from unauthorized, improper, unlawful, or unintended use, handling, storage, modification, combination, administration, redistribution, or disposal by a purchaser or third party.
7. Third-Party Access
Purchasers are responsible for taking reasonable measures to prevent unauthorized access to research products in their possession.
Falonyx is not responsible, to the fullest extent permitted by applicable law, for unauthorized use by another person after products have been delivered to the purchaser or the purchaser’s designated delivery location.
8. Assumption of Research Risk
Research materials may present risks if improperly handled, stored, transported, combined, modified, or used.
By purchasing products from Falonyx, the purchaser acknowledges responsibility for evaluating and managing risks associated with their research activities and for implementing appropriate laboratory and safety procedures.
9. No Medical Advice
Nothing appearing on the Website, product pages, product documentation, analytical documentation, emails, customer-service communications, marketing materials, or other Falonyx communications constitutes medical advice.
Falonyx does not provide diagnosis, treatment recommendations, dosing guidance, administration instructions, therapeutic recommendations, or instructions for human use.
Customers must not interpret product information or communications from Falonyx as authorization or guidance for human use.
10. Product Information
Falonyx makes reasonable efforts to present product names, quantities, specifications, images, prices, and other information accurately.
Product images may be representative. Packaging, labels, appearance, or presentation may change without materially changing the identified product.
We reserve the right to correct genuine typographical, pricing, technical, or product-information errors.
11. Testing and Documentation
Where analytical documentation is provided, it should be interpreted only in relation to the product, batch, or lot identified by that documentation.
Falonyx does not represent documentation associated with one batch or lot as analytical testing of another batch or lot.
Statements regarding independent testing apply only where applicable independent documentation actually supports the statement for the relevant product or batch.
12. Customer Accounts
A customer account is required to complete an order.
Customers are responsible for maintaining the confidentiality of their account credentials and for activity occurring through their accounts.
You must provide accurate account, billing, shipping, and contact information.
Contact support@falonyxbio.com promptly if you believe your account has been accessed without authorization.
13. Orders and Acceptance
Submission of an order does not automatically constitute final acceptance by Falonyx.
Falonyx may decline, cancel, hold, or limit an order when reasonably necessary because of product availability, payment issues, suspected fraud, suspected misuse, inaccurate information, pricing errors, legal or compliance concerns, shipping restrictions, or other legitimate business reasons.
If Falonyx cancels an order after payment has been collected, an appropriate refund will be issued.
14. Pricing and Payment
Prices are displayed on the Website and may change without notice.
Available payment methods are presented during checkout.
Payments may be processed by independent third-party payment providers. Those providers may apply their own terms, privacy practices, fraud controls, and processing requirements.
15. Shipping
Orders are subject to the Falonyx Bioscience Shipping Policy.
Customers are responsible for providing complete and accurate shipping information.
Shipping and delivery timeframes are estimates unless expressly stated otherwise.
Risk associated with shipping, lost shipments, damaged packages, and delivery issues will be handled according to the Shipping Policy and applicable law.
16. Refunds, Returns, and Cancellations
Refunds, returns, replacements, damaged-order claims, and cancellations are governed by the Falonyx Bioscience Refund & Returns Policy.
Nothing in that policy or these Terms limits rights that cannot legally be waived.
17. Website Use
You may not misuse the Website, attempt unauthorized access, interfere with its operation or security, introduce malicious code, submit fraudulent information, impersonate another person, or use the Website in violation of applicable law.
Falonyx may suspend or terminate access to an account when reasonably necessary to protect customers, the Website, Falonyx, or others.
18. Intellectual Property
Falonyx names, logos, branding, graphics, original website content, product presentation, and other intellectual property are owned by or licensed to Falonyx LLC where applicable and may be protected by intellectual-property laws.
No license to reproduce, distribute, modify, or commercially exploit Falonyx intellectual property is granted merely by accessing the Website or purchasing a product.
19. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Website and its content are provided on an “as available” basis, except for warranties or protections that cannot lawfully be excluded.
Falonyx does not make representations regarding suitability of research products for human use, because such products are not sold for human use.
Nothing in these Terms eliminates warranties or consumer protections that applicable law does not permit Falonyx to disclaim.
20. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FALONYX BIOSCIENCE AND FALONYX LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO ACCESS TO THE WEBSITE, AN ORDER, OR THE UNAUTHORIZED, IMPROPER, UNLAWFUL, OR UNINTENDED USE OR MISUSE OF A PRODUCT.
To the fullest extent permitted by applicable law, Falonyx is not responsible for consequences resulting from use of products contrary to their labeling, research-use designation, these Terms, or applicable law.
Nothing in these Terms excludes, restricts, or limits any liability or legal right that cannot lawfully be excluded, restricted, or limited.
21. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Falonyx LLC and its officers, employees, and agents from third-party claims, damages, liabilities, losses, and reasonable expenses arising from your unlawful or unauthorized use of products, violation of these Terms, or violation of applicable law, except to the extent the claim results from conduct for which Falonyx cannot lawfully disclaim responsibility.
22. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable federal law, without regard to conflict-of-law principles, except where applicable law requires otherwise.
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as appropriate, while the remaining provisions will continue in effect to the extent permitted by law.
24. No Waiver
Falonyx’s failure to enforce a provision of these Terms on one occasion does not constitute a waiver of its right to enforce that provision or another provision in the future.
25. Changes to These Terms
Falonyx may update these Terms periodically to reflect changes in the Website, products, business practices, policies, or applicable requirements.
The current version will be posted on this page with an updated revision date.
26. Entire Agreement
These Terms, together with the Privacy Policy, Shipping Policy, Refund & Returns Policy, Research Use Disclaimer, and other policies expressly incorporated by reference, constitute the applicable website terms between the customer and Falonyx concerning use of the Website and purchases made through it, subject to rights and obligations imposed by applicable law.
